Terms & Conditions

ENTIRE AGREEMENT:

Any of the terms and conditions of the Buyer’s order which are inconsistent with the terms and conditions hereof are hereby objected to and rejected and shall not be considered applicable to the sale of products mentioned herein. Unless Buyer shall notify Eagle Industries International Inc (hereafter EIII) in writing to the contrary within ten (10) days after receipt of this form, acceptance by Buyer of these terms and conditions shall be inferred and, in the absence of such notification, the shipment by EIII of the products covered herein shall be conclusively deemed to be subject to the terms and conditions hereof. No modification hereof shall be valid unless in writing and duly signed by a person authorized by EIII.

WARRANTY:

EIII disclaims all warranties express or implied, including warranties of merchantability and fitness for a particular purpose. The liability of EIII is expressly limited to the replacement or refund of any item rejected. Such replacement or refund shall constitute satisfaction of all liability EIII may have, whether such is based upon contract rights, negligence, or otherwise. EIII shall in no event be liable for special, indirect or consequential damages. Further EIII must be notified of any rejection within 30 days of receipt. If not rejected in that time the products shipped will be deemed accepted by Buyer.

GOVERNING LAWS:

The terms of this agreement and all rights and obligations hereunder shall be governed in accordance with the laws of the State of New York. Buyer hereby consents and submits to the jurisdiction of the appropriate courts in the State of New York for adjudication of any question of law or fact arising hereunder, including venue in Putnam County or the US District Court for the Southern District of New York.

EXPORT COMPLIANCE WARNING:

These parts may be subject to the International Traffic in Arms Regulations (ITAR), or the Export Administration Regulations (EAR). These items may NOT be exported out of the United States or supplied to foreign nationals (as defined by ITAR) located within the United States without first complying with appropriate authorization requirements from the United States Government. Actions contrary to U.S. ITAR and EAR is strictly PROHIBITED
